Terms and Conditions

Please read these Terms and Conditions carefully before using the website located at wdcltd.ca (the “Website”) or engaging White Diamond Construction Ltd. (“WDC,” “we,” “us,” or “our”) for any services. By accessing or using our Website, submitting a quote request, or entering into a service agreement with us, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use the Website or our services.

White Diamond Construction Ltd. is a Surrey-based construction and exterior maintenance company serving strata, commercial, residential, and municipal properties across the Lower Mainland of British Columbia, Canada.

WDC provides a range of seasonal maintenance and construction services, including but not limited to:

  • Snow removal and salting (automatic service only)
  • Gutter vacuum cleaning
  • Exterior building envelope cleaning (soft washing)
  • Window cleaning
  • Roof moss removal
  • Deck and balcony waterproofing
  • Parkade concrete crack injection
  • Asphalt, concrete repairs, painting, wood repairs, and general handyman services

The specific scope of work, pricing, and terms for each project or service engagement will be outlined in a separate written quote or service agreement provided by WDC.

3. Quotes and Estimates

All quotes and estimates provided by WDC are valid for a period of thirty (30) days from the date of issue, unless otherwise stated in writing. Quotes are based on the information and site conditions available at the time of assessment. Should site conditions differ materially from what was assessed, WDC reserves the right to adjust pricing accordingly with prior notice to the client.

A quote does not constitute a binding contract until it has been accepted in writing by the client and acknowledged by WDC.

4. Automatic Snow Removal and Salting Services

All snow removal and salting services provided by WDC are on an automatic basis only. We do not offer on-call or per-request snow removal. Services are triggered by real-time weather monitoring and pre-set, site-specific thresholds agreed upon with the client.

By entering into a snow removal service agreement, the client acknowledges and agrees to the automatic service model, including that WDC will perform services at its professional discretion based on weather conditions without requiring prior approval for each visit.

5. Service Agreements and Scheduling

Service engagements are governed by individual service agreements or accepted quotes. WDC will make commercially reasonable efforts to complete all work within agreed-upon timelines. However, scheduling may be affected by weather conditions, equipment availability, access restrictions, or other circumstances beyond our reasonable control.

6. Payment Terms

Unless otherwise specified in a service agreement:

  • Invoices are due upon receipt or within the timeframe stated on the invoice.
  • WDC reserves the right to charge interest on overdue accounts at a rate of 2% per month (24% per annum) or the maximum rate permitted by applicable law, whichever is lower.
  • WDC reserves the right to suspend or discontinue services if payment is not received within the agreed terms.
  • The client is responsible for any collection costs, including legal fees, incurred by WDC in recovering unpaid amounts.

7. Cancellation and Rescheduling

Cancellation or rescheduling policies may vary by service type and will be outlined in the applicable service agreement. Where no specific terms are provided, clients must provide a minimum of forty-eight (48) hours’ written notice for cancellations or rescheduling.

WDC reserves the right to charge a cancellation fee for late cancellations or no-shows where crews and equipment have been mobilized.

8. Client Responsibilities

The client agrees to:

  • Provide safe and reasonable access to the work area.
  • Ensure that all relevant information regarding the property, including known hazards, access restrictions, and special requirements, is disclosed to WDC prior to commencement of work.
  • Obtain any necessary permits or approvals required for the work, unless otherwise agreed in writing.
  • Remove or secure personal property, vehicles, or obstructions from the work area as reasonably required.

9. Warranty and Guarantees

Warranty terms vary by service and will be specified in the applicable service agreement or quote. For gutter cleaning services completed after leaf drop in the fall season, WDC offers a warranty until summer, which includes unlimited call-backs at no additional charge for issues related to debris from the same season.

All other warranties, if applicable, will be stated in writing. WDC does not provide any implied warranties beyond those expressly stated.

10. Limitation of Liability

To the fullest extent permitted by law, WDC’s total liability for any claim arising out of or related to the services or this agreement shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

WDC shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of use, business interruption, or property damage not directly caused by WDC’s negligence.

11. Indemnification

The client agrees to indemnify, defend, and hold harmless White Diamond Construction Ltd., its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to the client’s breach of these Terms, misuse of services, or failure to comply with applicable laws or regulations.

12. Force Majeure

WDC shall not be held liable for delays or failure to perform its obligations where such delays or failures result from circumstances beyond its reasonable control, including but not limited to severe weather events, natural disasters, pandemics, government orders, supply chain disruptions, labour disputes, or equipment failure despite reasonable maintenance.

13. Insurance and Safety Compliance

WDC carries comprehensive general liability insurance and maintains WorkSafeBC (WCB) coverage for all employees and crews. We comply with all applicable safety regulations, including WorkSafeBC requirements, and follow industry best practices for fall protection, equipment operation, and job site safety.

Proof of insurance and WCB clearance letters are available upon request.

14. Documentation and Service Records

WDC provides detailed service documentation for all completed work, including service dates, times, and scope of work performed. Where applicable, before-and-after photos and visual verification records are included. These records are suitable for strata reporting, insurance purposes, and compliance documentation.

15. Intellectual Property

All content on the WDC website, including text, images, graphics, logos, and design elements, is the property of White Diamond Construction Ltd. and is protected by applicable intellectual property laws. No content may be reproduced, distributed, or used without the prior written consent of WDC.

16. Website Use

The WDC website is provided for informational purposes and to facilitate communication with prospective and existing clients. By using the Website, you agree not to:

  • Use the Website for any unlawful purpose.
  • Submit false, misleading, or fraudulent information through any forms or communications.
  • Attempt to interfere with the operation, security, or integrity of the Website.

19. Dispute Resolution

In the event of a dispute arising from or related to these Terms or any service provided by WDC, the parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, the parties may pursue mediation or other resolution methods as permitted under the laws of British Columbia.

20. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any legal proceedings arising from these Terms shall be brought before the courts of British Columbia.

21. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

22. Entire Agreement

These Terms and Conditions, together with any applicable service agreement or accepted quote, constitute the entire agreement between the client and WDC with respect to the subject matter herein. Any modifications to these Terms must be made in writing and acknowledged by WDC.

23. Changes to Terms

WDC reserves the right to update or modify these Terms and Conditions at any time. Changes will be posted on the Website and will take effect immediately upon posting. Continued use of the Website or services following any changes constitutes acceptance of the revised Terms.
